1. INTRODUCTION AND ACCEPTANCE OF TERMS

Welcome to Nyumba Platform (“Nyumba,” “we,” “our,” or “us”). Nyumba Platform is an online property marketplace that connects property owners, property seekers, and property administrators across Tanzania.

By accessing or using the Nyumba Platform website, mobile applications, and related services (collectively, the “Platform”), you agree to be bound by these Terms and Conditions (“Terms”). These Terms constitute a legally binding agreement between you and Nyumba Platform

If you do not agree to these Terms, please do not use our Platform. We reserve the right to modify these Terms at any time, and your continued use of our Platform following any changes constitutes your acceptance of such changes. Please review these Terms periodically for updates

2. DEFINITIONS

For the purposes of these Terms, the following definitions apply:

• “Platform” refers to the Nyumba Platform website, mobile applications, and all associated services.

• “User” refers to any individual or entity that accesses or uses the Platform, including Property Owners, Property Seekers, and Property Administrators.

• “Property Owner” means a User who lists properties for sale or rent on the Platform.

• “Property Seeker” means a User who searches for, views, or expresses interest in properties listed on the Platform.

• “Property Administrator” means a User responsible for verifying property listings, managing KYC verifications, and overseeing platform operations.

• “Property Listing” means any advertisement or information about a property posted by a Property Owner on the Platform.

• “KYC” refers to Know Your Customer verification, a mandatory process for Property Owners to verify their identity before listing properties.

• “Contact Unlock” means the process by which a Property Seeker pays a fee to access a Property Owner’s contact details.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Eligibility

You must be at least 18 years old to register an account or use our Platform. By creating an account, you represent and warrant that you have the legal capacity to enter into this agreement and that all information you provide is accurate and truthful

3.2 Account Creation

To access certain features of the Platform, you must register for an account. You are responsible for

:

• Maintaining the confidentiality of your account credentials (username and password)

• All activities that occur under your account

• Notifying us immediately of any unauthorized access or use of your account

• Keeping your account information accurate and up to date

3.3 User Roles

When registering, you must select the role that accurately reflects your intended use of the Platform:

• Property Owner: For users who wish to list properties for sale or rent. Property Owners must complete KYC verification before listing properties.

• Property Seeker: For users who wish to search for and view properties.

• Property Administrator: For authorized personnel who manage the Platform.

4. KYC VERIFICATION

4.1 Purpose

KYC (Know Your Customer) verification is mandatory for all Property Owners to ensure the safety, trust, and security of the Platform. This process helps verify that Property Owners are legitimate and that property listings are genuine

.

4.2 KYC Submission

Property Owners must submit the following documents for verification:

• Valid government-issued ID (National ID Card, Passport, or Driver’s License)

• A clear selfie with the ID

• Full name, date of birth, and residential address

4.3 KYC Review and Approval

All KYC submissions are reviewed by a Property Administrator. The process may take 24-48 hours. You will receive an email notification regarding the status of your verification

.

4.4 KYC Statuses

• Pending: Your documents are under review.

• Verified: Your identity has been confirmed. You may now list properties.

• Rejected: Your documents were not accepted. A reason will be provided, and you may resubmit.

4.5 Account Status Control

Property Administrators may, at their discretion, deactivate a Property Owner’s account if they violate these Terms or if fraudulent activity is suspected. Upon deactivation, all properties listed by that owner will be unpublished

.

5. PROPERTY LISTINGS

5.1 Listing Requirements

Property Owners must comply with the following requirements when creating property listings

:

• Provide accurate, complete, and truthful information about the property

• Have the legal right to list the property

• Include current and accurate pricing

• Use genuine photographs of the property (not stock images)

• Comply with all applicable Tanzanian laws and regulations

• Not include misleading or deceptive information

• Clearly state if the property is for sale, rent, or both

5.2 Prohibited Listings

The following types of listings are strictly prohibited:

• Properties that do not exist or are not available

• Listings with false or misleading prices

• Properties that violate local zoning or housing regulations

• Discriminatory listings based on race, religion, gender, or other protected characteristics

5.3 Listing Approval

All property listings are subject to review and approval by a Property Administrator. We reserve the right to reject or remove any listing that violates these Terms or is otherwise deemed inappropriate.

5.4 Listing Management

Property Owners can edit, update, or delete their listings at any time through their dashboard. However, editing a listing may require re-approval.

6. FEES AND PAYMENTS

6.1 Contact Unlock Fee

Property Seekers may pay a fee to unlock the contact details of a Property Owner. The fee amount is displayed on each property listing and is set by the Platform administration

.

6.2 Payment Processing

All payments are processed through clickpesa, a secure payment gateway. By making a payment, you agree to clickpesa’s terms and conditions. Nyumba Platform does not store your payment information.

6.3 Transaction Records

All transactions are recorded and stored securely. Users can view their transaction history in their dashboard.

6.4 Refund Policy

Contact Unlock fees are non-refundable once the contact details have been successfully unlocked. Refunds may be issued at our sole discretion in cases of technical errors or duplicate charges

.

7. USER CONDUCT

7.1 Prohibited Activities

You agree not to engage in any of the following prohibited activities

:

• Post false, misleading, or fraudulent listings

• Violate any laws or regulations

• Infringe on intellectual property rights

• Harass, abuse, or harm other users

• Attempt to circumvent security measures

• Use automated tools to scrape or collect data from the Platform

• Spam or send unsolicited communications

• Interfere with the proper functioning of the Platform

• Impersonate others or misrepresent your affiliation

• Post discriminatory or offensive content

7.2 Communication

All communications through the Platform should be professional and relevant to property transactions. We may monitor communications to ensure compliance with these Terms and for quality assurance purposes

.

7.3 Reviews and Ratings

Property Seekers may post reviews and ratings for properties they have viewed or inquired about. All reviews must be honest, accurate, and based on genuine experiences. We reserve the right to remove reviews that violate our policies or are suspected to be fake

.

8. INTELLECTUAL PROPERTY RIGHTS

8.1 Platform Content

All content on the Nyumba Platform, including text, graphics, logos, icons, images, software, and design, is the property of Nyumba Platform or its licensors and is protected by Tanzanian and international copyright, trademark, and other intellectual property laws

.

8.2 User-Generated Content

You retain ownership of the content you submit to the Platform (listings, reviews, images). However, by posting content, you grant Nyumba Platform a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content for the purpose of operating and promoting the Platform

.

8.3 Prohibited Use

You may not copy, modify, distribute, or create derivative works based on Platform content without our express written permission.

9. DISCLAIMER OF WARRANTIES

The Nyumba Platform is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied

.

We do not warrant that:

• The Platform will be error-free or uninterrupted

• Property listings are accurate, complete, or reliable

• All Properties are genuine or as described

• The Platform is free of viruses or harmful components

We do not verify the accuracy of listings or guarantee the identity or credentials of users. All property transactions are between the Property Owner and Property Seeker. Nyumba Platform acts solely as an intermediary facilitating connections

.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Nyumba Platform and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to

:

• Loss of profits, revenue, or data

• Property damage or personal injury

• Losses resulting from property transactions

• Reliance on information provided through our Platform

• Fraudulent or misleading listings

Our total liability shall not exceed the fees paid by you to us in the twelve (12) months preceding the claim

.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Nyumba Platform and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from

:

• Your use of our Platform

• Your violation of these Terms

• Your violation of any rights of third parties

• Your property listings or content

• Any disputes arising between you and other users

12. TERMINATION AND SUSPENSION

12.1 Termination by User

You may terminate your account at any time by contacting us or through your account settings.

12.2 Termination by Nyumba Platform

We reserve the right to suspend or terminate your account and access to our Platform at any time, with or without notice, for any reason, including but not limited to

:

• Violation of these Terms

• Fraudulent or illegal activity

• Extended inactivity

• At your request

12.3 Effect of Termination

Upon termination, your right to use our Platform will immediately cease. We may delete your account and content. Any provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.

13. PRIVACY AND DATA PROTECTION

13.1 Data Collection

We collect personal information to provide and improve our services, including names, contact details, identification documents, and usage data

13.2 Data Use

We use collected data for:

• Providing and maintaining the Platform

• Processing KYC verifications

• Processing payments

• Communicating with users

• Improving our services

13.3 Data Security

We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security

13.4 Data Retention

We retain your data for as long as necessary to fulfill the purposes for which it was collected, including for legal, accounting, or reporting requirements.

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania

. Any disputes arising from these Terms or your use of our Platform shall be subject to the exclusive jurisdiction of the courts of Tanzania

.

14.2 Dispute Resolution

We encourage you to contact us first to resolve any disputes informally. If a dispute cannot be resolved informally, it shall be resolved through the courts of Tanzania.

15. GENERAL PROVISIONS

15.1 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect

15.2 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision.

15.3 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations at any time without notice to you

15.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nyumba Platform regarding your use of our Platform and supersede all prior agreements and understandings
